Terms & Conditions

1. Structure of engagement and project scopes

Work begins once both parties agree to a written proposal, statement of work, or service tier. Each agreement defines the deliverables, estimated timelines, technical requirements, and payment schedule for that project.

If you start on an essential setup, your build focuses on core interface customisation, standard features, and foundational architecture. As your audience or business expands, additional features, integrations, and fully custom workflows can be scoped and introduced. Any changes to the agreed scope during a build will be reviewed together, with adjustments to timelines or budgets documented before that work proceeds.

2. Design, review, and client feedback

Digital product design relies on collaboration. During discovery and interface design phases, Pangolin presents concepts, wireframes, and prototypes for your review at agreed milestones.

To keep development schedules on track, we ask for consolidated feedback within five working days of delivery. Timely approvals ensure the build team can transition cleanly from user interface design to front-end and back-end engineering without unexpected pauses.

3. Development, testing, and platform limitations

Pangolin builds software designed for long-term stability, performance, and clean code standards. While internal automation helps us work efficiently, all digital products are architected, developed, and reviewed by human engineers and product strategists. We do not rely on fully automated no-code generators or raw machine-generated scripts for production environments, as robust consumer apps demand intentional architecture and ongoing security.

We test thoroughly across modern iOS and Android operating systems, standard screen resolutions, and current web browsers. However, Pangolin cannot guarantee uninterrupted compatibility with legacy operating systems, unmaintained third-party software, or future operating system updates released after a project has launched and warranty periods have concluded.

4. Third-party integrations and app store approvals

Many modern fitness, wellness, and skill platforms connect with outside tools, including payment processors, video streaming infrastructure, analytics suites, and device APIs.

While we handle the technical integration, third-party services operate under their own commercial terms, uptime guarantees, and fee structures. You remain responsible for maintaining your own developer accounts with Apple, Google, and your chosen payment gateways. Pangolin prepares, packages, and submits your application according to platform guidelines, but final approval decisions remain with Apple and Google.

5. Intellectual property and asset ownership

Pre-existing code, framework components, design libraries, and proprietary software patterns developed by Pangolin remain our intellectual property.

Upon full payment of all project fees, you receive an exclusive or royalty-free licence to use, operate, and modify the custom design assets, brand elements, and bespoke application code created specifically for your product. You retain full ownership of all branding, content, media, copy, customer data, and user assets provided to Pangolin during the project.

6. Fees, payment terms, and project progression

Project fees are invoiced based on the milestone schedule outlined in your agreement. Initial deposits or discovery fees must be settled prior to project kick-off.

Invoices are payable within fourteen days of issue unless agreed otherwise in writing. If an invoice remains unpaid past its due date, Pangolin reserves the right to pause design or development work until the account is brought up to date. Work paused due to payment delays may require rescheduling based on team capacity once settled.

7. Warranty and ongoing maintenance

Following formal launch or platform sign-off, Pangolin provides a thirty-day bug fix warranty. During this period, our engineering team resolves any genuine defects or discrepancies against the agreed scope at no extra charge.

Once the initial warranty period closes, ongoing support, platform updates, server monitoring, and feature additions are managed through an ongoing support partnership or separate development agreements.

8. Limitation of liability

Pangolin works to high industry standards to produce secure, stable, and commercially viable digital products. However, to the fullest extent permitted by law, Pangolin is not liable for indirect, incidental, or consequential losses, including lost revenue, lost business, or downtime resulting from third-party service failures, hosting outages, or platform guideline changes. Our total aggregate liability under any agreement is limited to the total fees paid by you to Pangolin for the specific phase of work in question.

9. Confidentiality and data handling

Both parties agree to protect and keep confidential any sensitive business, technical, or commercial information shared during the relationship. Pangolin handles all client and project information in accordance with UK data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018.

10. Governing law

These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
